Terms & Conditions — Demo Records

1. The seller

These terms and conditions apply to all offers, orders and purchase agreements concluded through the webshop of the seller identified below ("the seller"). By placing an order, the buyer accepts these terms.

2. The seller and the platform

The webshop of Demo Records is powered by the technical platform RecordFlower. RecordFlower V.O.F. is solely a technical service provider and is not a party to the purchase agreement between the buyer and Demo Records. The buyer acknowledges that any claim arising from the purchase agreement is directed exclusively at Demo Records as the seller. All rights and obligations under the purchase agreement rest with Demo Records.

3. Offer and agreement

All offers are non-binding and subject to availability. A purchase agreement is concluded once Demo Records confirms the order in writing (by email). Demo Records reserves the right to refuse an order, for example if an item has sold out or if a pricing error is discovered.

4. Condition of products

Products are predominantly second-hand vinyl records and related items. Condition is described using the Discogs grading standard (Mint, Near Mint, Very Good Plus, Very Good, Good Plus, Good, Fair, Poor), which is the industry convention for used vinyl. Demo Records strives to grade consistently and accurately; minor signs of use inherent to second-hand items do not constitute non-conformity if they fall within the stated grade.

If the condition is demonstrably inaccurate or the item has a hidden defect, the buyer has the remedies set out in sections 8 and 9.

5. Prices and payment

All prices are in euros. VAT is included where applicable under Dutch and EU law. Shipping costs are shown separately at checkout. Payment is processed via the payment provider used by Demo Records (Stripe) at the time of order. Demo Records reserves the right to correct obvious pricing errors; the buyer will be notified and may cancel the order free of charge.

6. Delivery and shipping

Demo Records will dispatch orders within the delivery time stated on the product page or at checkout. Unless a later date is expressly agreed, orders will be delivered no later than 30 days after the order confirmation (Art. 7:19a Dutch Civil Code / Art. 18 EU Consumer Rights Directive). If delivery within this period is not possible, the buyer is entitled to terminate the agreement and receive a full refund.

Risk of damage or loss during transport lies with Demo Records until the package is delivered to the buyer's address. In case of loss or damage during transit, the buyer should notify Demo Records within a reasonable time after the expected delivery date so that a claim with the carrier can be filed.

7. Right of withdrawal (EU consumers)

Consumers (individuals not acting in the course of a trade, business or profession) have the right to withdraw from the agreement without giving reasons within 14 calendar days of receiving the order (Art. 6:230o Dutch Civil Code / Art. 9 EU Consumer Rights Directive). The buyer may use the EU model withdrawal form, or send a clear statement by email to sadfsdfasdfadsaf@gmail.com.

After notification, the buyer has 14 days to return the item. Return shipping costs for withdrawal are borne by the buyer, unless Demo Records has stated otherwise. The buyer is liable for any decrease in value resulting from handling beyond what is necessary to assess the nature, characteristics and functioning of the item.

Exceptions to the right of withdrawal (Art. 6:230p Dutch Civil Code). The right of withdrawal does not apply to:

• Sealed sound or video recordings (including sealed vinyl, CD, cassette) once the seal has been broken after delivery (Art. 6:230p sub i).
• Goods made to the buyer's specifications or clearly personalised (Art. 6:230p sub f).
• Goods which, by their nature, cannot be returned or which deteriorate or expire rapidly.

Demo Records will refund all payments received (including standard outbound shipping) within 14 days of receiving the withdrawal notice, but not before the returned item has been received or the buyer has provided proof of return shipment.

8. Statutory conformity guarantee

Irrespective of these Terms, the buyer has the statutory right to receive a product that conforms to the agreement (Art. 7:17 Dutch Civil Code / Directive (EU) 2019/771). If the delivered product does not conform, the consumer is entitled, at their choice and within the statutory framework, to free repair, replacement, a proportional price reduction, or termination of the agreement.

For non-conformity claims the return is at the risk and cost of Demo Records. Demo Records will provide a return label or reimburse reasonable return shipping costs.

The buyer is asked to report a non-conformity in writing within a reasonable time after discovery, including a description of the issue and, where possible, photographic evidence. A notification within two months after discovery is in any event considered timely under Art. 7:23 Dutch Civil Code.

9. Liability of the seller

The liability of Demo Records for direct damage is limited to the purchase price of the relevant order. Demo Records is not liable for indirect damage, consequential loss, or lost profits.

This limitation does not apply to liability for death or personal injury, fraud, wilful misconduct or gross negligence, nor to any liability that cannot be limited under mandatory consumer protection law. The statutory conformity rights under section 8 remain unaffected.

10. Complaints

Complaints about the execution of the agreement should be submitted to Demo Records via the contact details in section 1, fully and clearly described, within a reasonable time (as a guideline, within 14 days of discovery; a notification within two months is in any event timely). Demo Records will respond within 14 days. If more time is needed, the buyer will be informed within that same period.

If a complaint cannot be resolved by mutual agreement, EU consumers may use the European Online Dispute Resolution platform: ec.europa.eu/consumers/odr.

11. Governing law and jurisdiction

All agreements are governed by Dutch law. Disputes will be submitted to the competent court in the district where Demo Records is established, without prejudice to the consumer's right under mandatory law to bring proceedings in the court of their place of residence.

12. Changes

Demo Records may amend these terms. The current version is always available on this webshop. Material changes will be announced on the webshop. Orders placed before an amendment remain subject to the terms in force at that time.

1. De verkoper

Deze algemene voorwaarden zijn van toepassing op alle aanbiedingen, bestellingen en koopovereenkomsten die via de webshop van onderstaande verkoper (hierna: "de verkoper") tot stand komen. Door een bestelling te plaatsen aanvaardt de koper deze voorwaarden.

2. De verkoper en het platform

De webshop van Demo Records draait op het technische platform RecordFlower. RecordFlower V.O.F. is uitsluitend een technische dienstverlener en is geen partij bij de koopovereenkomst tussen de koper en Demo Records. De koper erkent dat elke vordering uit de koopovereenkomst uitsluitend tegen Demo Records als verkoper kan worden ingesteld. Alle rechten en verplichtingen uit de koopovereenkomst rusten bij Demo Records.

3. Aanbod en overeenkomst

Alle aanbiedingen zijn vrijblijvend en afhankelijk van beschikbaarheid. Een koopovereenkomst komt tot stand zodra Demo Records de bestelling schriftelijk (per e-mail) heeft bevestigd. Demo Records behoudt zich het recht voor een bestelling te weigeren, bijvoorbeeld bij uitverkoop of een kennelijke prijsfout.

4. Staat van de producten

Producten zijn overwegend tweedehands vinylplaten en aanverwante artikelen. De staat wordt beschreven volgens de Discogs grading standaard (Mint, Near Mint, Very Good Plus, Very Good, Good Plus, Good, Fair, Poor), de gebruikelijke branchenorm voor gebruikte platen. Demo Records streeft naar een consistente en accurate beoordeling; geringe gebruikssporen die bij tweedehands artikelen horen en binnen de aangegeven grade vallen, vormen geen non-conformiteit.

Als de staat aantoonbaar onjuist is beschreven of het artikel een verborgen gebrek heeft, heeft de koper recht op de remedies genoemd in artikel 8 en 9.

5. Prijzen en betaling

Alle prijzen zijn in euro's. Btw is inbegrepen voor zover van toepassing op grond van Nederlandse en Europese wetgeving. Verzendkosten worden apart vermeld bij het afrekenen. De betaling verloopt via de door Demo Records gebruikte betalingsprovider (Stripe) op het moment van bestellen. Demo Records behoudt zich het recht voor kennelijke prijsfouten te corrigeren; de koper wordt in dat geval geïnformeerd en kan kosteloos annuleren.

6. Levering en verzending

Demo Records verzendt bestellingen binnen de bij het product of bij het afrekenen vermelde levertijd. Behoudens uitdrukkelijk andersluidende afspraak worden bestellingen uiterlijk binnen 30 dagen na orderbevestiging geleverd (art. 7:19a BW / art. 18 Europese Consumentenrichtlijn). Is levering binnen deze termijn niet mogelijk, dan heeft de koper het recht de overeenkomst te ontbinden en ontvangt hij het volledige aankoopbedrag terug.

Het risico van beschadiging of verlies tijdens transport ligt bij Demo Records tot het moment van aflevering op het adres van de koper. Bij verlies of transportschade meldt de koper dit binnen redelijke tijd na de verwachte leverdatum, zodat een claim bij de vervoerder kan worden ingediend.

7. Herroepingsrecht (EU-consumenten)

Consumenten (natuurlijke personen die niet handelen in de uitoefening van beroep of bedrijf) hebben het recht de overeenkomst zonder opgaaf van redenen te ontbinden binnen 14 kalenderdagen na ontvangst van de bestelling (art. 6:230o BW / art. 9 Europese Consumentenrichtlijn). De koper kan daarvoor het modelformulier voor herroeping gebruiken of een ondubbelzinnige verklaring per e-mail sturen aan sadfsdfasdfadsaf@gmail.com.

Na de melding heeft de koper 14 dagen om het artikel terug te sturen. De directe retourkosten bij herroeping komen voor rekening van de koper, tenzij Demo Records anders heeft vermeld. De koper is aansprakelijk voor waardevermindering die het gevolg is van een verdergaande omgang met het artikel dan nodig om de aard, de kenmerken en de werking ervan vast te stellen.

Uitzonderingen op het herroepingsrecht (art. 6:230p BW). Het herroepingsrecht geldt niet voor:

• Verzegelde audio- of video-opnamen (waaronder verzegelde vinyl, cd, cassette) nadat de verzegeling na levering is verbroken (art. 6:230p sub i).
• Volgens specificaties van de koper vervaardigde of duidelijk gepersonaliseerde artikelen (art. 6:230p sub f).
• Artikelen die door hun aard niet kunnen worden teruggezonden of die snel in waarde verminderen of bederven.

Demo Records betaalt alle ontvangen bedragen (inclusief de oorspronkelijke standaardverzendkosten) binnen 14 dagen na de herroepingsverklaring terug, maar niet voordat het artikel is ontvangen of de koper een verzendbewijs heeft overgelegd.

8. Wettelijke conformiteitsgarantie

Onverminderd deze voorwaarden heeft de koper recht op een product dat aan de overeenkomst beantwoordt (art. 7:17 BW / Richtlijn (EU) 2019/771). Indien het geleverde product niet-conform is, heeft de consument naar zijn keuze en binnen het wettelijke kader recht op kosteloze reparatie, vervanging, een evenredige prijsvermindering of ontbinding van de overeenkomst.

Bij non-conformiteit zijn de retourzending en het retourrisico voor rekening van Demo Records. Demo Records stelt een retourlabel beschikbaar of vergoedt de redelijke verzendkosten van de retour.

De koper wordt verzocht een non-conformiteit binnen redelijke tijd na ontdekking schriftelijk te melden, met omschrijving van het probleem en zo mogelijk foto's. Een kennisgeving binnen twee maanden na ontdekking geldt op grond van art. 7:23 BW in elk geval als tijdig.

9. Aansprakelijkheid van de verkoper

De aansprakelijkheid van Demo Records voor directe schade is beperkt tot de koopprijs van de betreffende bestelling. Demo Records is niet aansprakelijk voor indirecte schade, gevolgschade of gederfde winst.

Deze beperking geldt niet voor aansprakelijkheid voor dood of letsel, bedrog, opzet of grove schuld, noch voor aansprakelijkheid die op grond van dwingend consumentenrecht niet kan worden beperkt. De wettelijke conformiteitsrechten uit artikel 8 blijven onverlet.

10. Klachten

Klachten over de uitvoering van de overeenkomst kunt u volledig en duidelijk omschreven indienen bij Demo Records via de contactgegevens in artikel 1, binnen redelijke tijd (als richtsnoer: binnen 14 dagen na ontdekking; een melding binnen twee maanden is in elk geval tijdig). Demo Records reageert binnen 14 dagen. Is meer tijd nodig, dan wordt u daarover binnen diezelfde termijn geïnformeerd.

Kan een klacht niet in onderling overleg worden opgelost, dan kunnen EU-consumenten terecht bij het Europese ODR-platform: ec.europa.eu/consumers/odr.

11. Toepasselijk recht en jurisdictie

Op alle overeenkomsten is Nederlands recht van toepassing. Geschillen worden voorgelegd aan de bevoegde rechter in het arrondissement waar Demo Records is gevestigd, onverminderd het recht van de consument om op grond van dwingend recht te procederen bij de rechter van zijn woonplaats.

12. Wijzigingen

Demo Records mag deze voorwaarden wijzigen. De actuele versie is steeds op deze webshop beschikbaar. Wezenlijke wijzigingen worden op de webshop aangekondigd. Voor reeds geplaatste bestellingen blijven de op dat moment geldende voorwaarden van toepassing.
